HALRON LUBRICANTS INC.
PAYMENT TERMS AND CREDIT POLICY:

1. Our payment terms are Net 30 (unless specified differently on the face of the invoice). Payments are due 30 days from the date of invoice. If paying by statement, payment is due on the 15th of the month following purchases. Halron reserves the right to demand immediate payment for cause.
   
2. If you disagree with any portion of your bill, please notify Halron within 30 days of the billing date.
   
3. Late charges will be incurred on all accounts beyond payment terms at the rate of 1.5% per month, which is equivalent to an annual interest rate of 18%. Unpaid late charges will become part of the previous balance. (Payment of late charges is not an alternative to payment by the due date).
   
4. Remittance should be made by specific invoice number or statement date in order to assure proper application of the payment. Payments made “on account” will be applied in the following order:
   
   1. Against any unpaid late charges
      
   2. Against the oldest unpaid invoices
      
   3. Any remaining amount will be partially applied to the next oldest invoice.
      
5. Delinquent Accounts
   1. An account delinquent for 30 days or longer will automatically become subject to C.O.D. terms unless special payment arrangements are made in advance with our Credit Department.
      
   2. Delinquent accounts are subject to collection and/or reasonable attorney’s fees.
      
6. Any payments made to Halron via check may be deposited electronically by Halron as a one-time ACH payment for the exact same amount.
   
7. Any checks returned to Halron for insufficient funds may be redeposited by Halron as a one-time ACH payment for the amount of the check plus a $30.00 insufficient funds fee.

INVOICES:
A metered ticket or a packing list is left upon delivery. Our delivery personnel attempt to have the delivery receipt signed whenever possible. An invoice is subsequently mailed or e-mailed based on your account preference settings as designated on this application within 1 -2 business days of the delivery date. All invoices will have a due date clearly marked on the invoice.

STATEMENTS:
Halron sends out monthly statements showing the amount due on your account on the first business day of each month. These will be mailed or e-mailed based on your preference. Our statements do not show payments made the prior month as it is our expectation that all balances are paid in full each month. The statement simply shows the amount due Halron as of the statement date.

By clicking the below box you are attesting to the following: You understand and agree to our payment terms and credit policy, you are an authorized representative of your company to sign and agree to these terms and conditions, you authorize Halron to inquire on the creditworthiness of your business (and in the case of sole proprietors or businesses that have signed our personal guarantee you authorize Halron to obtain a personal credit report to evaluate your credit), you authorize Halron to contact the trade and bank references provided to evaluate your past payment history (both at the time of application and as needed on an ongoing basis as needed based on your payment performance with Halron), you guarantee to pay all costs and expenses of legal (including attorney’s fees) or collection proceedings to collect on any delinquent account, and further agree that the jurisdiction of any legal proceedings may be taken in Brown County, Wisconsin. Last, you agree that all information provided on this application is truthful.
